EXECUTIVE SEARCH RECRUITMENT

TERMS AND CONDITIONS

a) The Executive Search Services fees are invoiced at the three main decision points -one third of the total fee as a Retainer on authorisation to proceed, one third of the total fee on presentation of the Shortlist and the final third of the total fee when the candidate joins, which will reflect the final agreed remuneration package.

b) The fees, per placement, are calculated at the rate of 30% of the first year's planned income or an agreed fixed rate as per the terms of engagement.

c) "Planned income" is considered to comprise total taxable on-target emoluments and benefits in kind in the first year and include the basic salary, any additional guaranteed income (whether or not recoverable), or allowances and bonuses.

d) All placed candidates will be covered by a "no quibble" free replacement warranty for six months after their commencing. This warranty is not applicable in the event of the candidate's death, redundancy, maternity or a company reorganisation, which changes the parameters of the original position or failure to comply with our payment terms.

e) The retainer fee will be invoiced immediately authorisation is given to proceed and is due within SEVEN DAYS. Until payment is received the assignment will not be commenced. A fee will be invoiced upon agreement between client and a shortlist of candidates, and is due within SEVEN DAYS. Interviews will commence following payment. The placement fee is due within SEVEN DAYS from the date of candidate joining.

f) All reasonable expenses incurred by Paladin consultants will be billed at the end of each month and may include any excessive travelling, fax transmissions, international and mobile calls made on the client's behalf.

g) In the event of a client giving Paladin the name of a candidate to be approached on its behalf, then any ensuing hiring of that individual will incur a placement fee of 30% of the first year's basic annual earnings.

h) Should the client fail to meet the payment terms outlined in Clause e) Paladin will be entitled to charge interest at 1% per week.

I) It is the responsibility of the client to ensure final suitability of the candidate and to take up references unless otherwise agreed. Paladin accepts no liability for any loss, damage or claims for compensation, however caused, arising from or in connection with the introduction or engagement of any candidate submitted.

j) Clients agree to take up references only after receiving the candidate's permission; to provide a copy of any written offer of employment to Paladin; and to deal with the candidate only through Paladin.

k) No variation of these terms shall be valid unless expressed to be such and signed and agreed by the Paladin Consultancy.
